End-User Licence Agreement

This End-User Licence Agreement ("EULA") is a legal agreement between you and Tessen Software ("we", "us") governing your use of the Tessen macOS application (the "Software"). By installing or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

1. Licence grant

Subject to your compliance with this EULA and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on Mac computers you personally own or control, for as long as you have an active trial, are using the Software's free tier within its usage limits, or hold an active subscription or licence.

2. Permitted use

You may use the Software for your own personal or internal business dictation, transcription, and text-editing purposes. You may install updates we make available under the same licence.

3. Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is expressly prohibited by applicable law notwithstanding this limitation;
• Modify, adapt, translate, or create derivative works based on the Software;
• Rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer the Software or your licence to any third party;
• Remove, obscure, or alter any proprietary notices (copyright, trademark) on or in the Software;
• Circumvent, disable, or otherwise interfere with licence activation, trial-period or free-tier usage limits, or any other security or licensing feature of the Software, including by resetting or manipulating your system clock to reopen an expired trial or free-tier window;
• Use the Software to build, train, or benchmark a competing product;
• Use the Software in any way that violates applicable law.

4. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not grant you any rights to our trademarks, service marks, or logos. Any data you dictate, and any dictionary/vocabulary entries you create, remain yours — the Software stores them locally on your own Mac, and this licence gives us no rights to them.

5. Updates

We may make updates, upgrades, or new versions of the Software available from time to time. Any such update is governed by this same EULA unless accompanied by a separate licence agreement.

6. Term and termination

This licence is effective until terminated. It terminates automatically if you materially fail to comply with any term of this EULA. Your trial ending, or your paid subscription lapsing without renewal, does not by itself terminate this licence: it falls through to the permanent free tier described in our Terms of Service, and this licence continues to cover your free-tier use of the Software. Upon termination for breach, you must stop using the Software and delete all copies of it from devices under your control. Your right to any locally-stored dictation history or vocabulary data is unaffected by termination of this licence, since that data was never subject to it.

7. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. This does not affect any statutory rights you have as a consumer that cannot lawfully be waived.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. See the Terms of Service for the applicable liability cap.

9. Governing law

This EULA is governed by the laws of the laws of England and Wales, without prejudice to any mandatory consumer-protection law of the country in which you reside.

10. Entire agreement

This EULA, together with the Terms of Service, constitutes the entire agreement between you and us regarding your use of the Software, and supersedes any prior agreements regarding the Software.
